Charter just pulled off a $34.5 billion takeover of Cox Communications and wrapped up an all-stock deal for Liberty Broadband, instantly expanding its Spectrum footprint across 45 states. The stakes? Massive. With Cox Enterprises now owning about 26% of Charter, and CEO Alex Taylor set to chair the board, the company’s new scale makes it the largest U.S. internet provider by customer count, leapfrogging even Comcast. But the pressure’s on: Charter has until mid-September to roll out its Spectrum brand, pricing, and packaging in former Cox markets—and it’s luring customers with a free mobile line for a year.

But here’s the catch: California regulators only greenlit the deal with tough conditions. Charter must deliver new affordable broadband plans, invest at least $275 million in California network upgrades, offer digital inclusion grants, and guarantee automatic outage credits starting at two hours. Throw in a $20 minimum wage and local hiring requirements, and the company’s growth comes with real compliance costs. If Charter moves too fast or runs afoul of price caps, it risks losing revenue or spiking customer churn, especially with watchdogs worried the merged company is now the sole gigabit provider for millions of homes.
